Proply Lens Terms of Service and Membership Agreement

These Terms of Service and Membership Agreement ("Agreement") form a binding legal agreement between Proply Lens ("Company", "we", "us", or "our") and the individual or entity registering for, accessing, or using the Platform ("Customer", "you", or "your").

By registering an account, purchasing a subscription or credit package, uploading materials, or otherwise using any part of proplylens.com or its related interfaces, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

Platform: all websites, dashboards, web applications, APIs, workflows, and software services made available by Proply Lens.

Credits: digital usage units purchased or allocated for AI-powered editing, enhancement, virtual staging, decluttering, branding, video, or related real estate marketing workflows.

Input / Output: uploaded listing photos, prompts, brand assets, and related source materials, together with any visual, video, staging result, or derivative asset generated through the Platform.

Force Majeure: events outside a party's reasonable control, including natural disasters, war, cyberattacks, infrastructure failures, internet outages, or service interruptions originating from upstream vendors.

3.1. You agree that all registration, billing, and contact information you provide will be accurate, current, and complete, and that you will keep such information updated throughout your use of the Platform.

3.2. Your account is personal to the licensed user or organization and may not be shared in a manner that circumvents seat, plan, or usage limits. You are responsible for safeguarding credentials and for all activity carried out through your account.

3.3. Proply Lens may suspend, restrict, or terminate access where we reasonably determine that the Platform is being used unlawfully, abusively, fraudulently, in breach of third-party rights, or contrary to this Agreement or applicable law.

4.1. Dynamic capabilities: Proply Lens may update, improve, replace, retire, or expand Platform tools and workflows over time, including enhancement, staging, decluttering, branding, and video features.

4.2. Credit pricing: The Company may revise feature-specific credit costs, plan inclusions, and generation limits in response to infrastructure costs, model economics, product changes, or commercial conditions. The pricing and usage rules displayed at the time of use apply to that transaction.

4.3. Credit validity: Unless otherwise stated in a written plan, invoice, or promotional offer, purchased credits remain valid for 30 days and unused credits do not roll over after expiration.

4.4. Acceptable use: You may not use the Platform to create unlawful, deceptive, discriminatory, infringing, defamatory, or harmful content, or to upload and process media for which you do not hold sufficient rights, permissions, or authority.

5.1. All rights, title, and interest in the Platform interface, software, workflows, prompt systems, brand elements, and underlying technology remain vested in Proply Lens or its licensors.

5.2. As between you and Proply Lens, you retain your rights in your Inputs. Subject to payment and compliance with this Agreement, you may use generated Outputs for your own lawful business, listing, advertising, and marketing purposes.

5.3. Marketing permission: Unless you notify us in writing that a specific project must be excluded, you grant Proply Lens a non-exclusive, worldwide, royalty-free right to use Outputs that do not contain personal data or confidential information as anonymized sample work, case studies, portfolio references, and demo materials.

6.1. The Platform provides digital software services and AI-generated outputs that may begin processing immediately after purchase or activation.

6.2. Refunds are available only when both conditions are satisfied together: the request is made within 72 hours of purchase, and none of the credits in the relevant package have been used.

6.3. If any credit has been consumed, any output has been generated, or the 72-hour window has passed, payments are non-refundable except where mandatory law expressly requires otherwise.

7.1. Proply Lens processes personal data, uploaded listing media, prompts, billing records, and usage logs in accordance with applicable data protection laws and our Privacy Policy.

7.2. Inputs and related metadata may be processed by cloud infrastructure, AI model, storage, payment, and support vendors solely as necessary to operate, secure, support, and improve the service.

8.1. AI outputs are probabilistic in nature and may contain errors, inconsistencies, or creative variations that do not fully align with your commercial, legal, or aesthetic expectations. You are responsible for reviewing all Outputs before publication, distribution, or downstream reliance.

8.2. To the maximum extent permitted by law, Proply Lens will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost transactions, reputational harm, data loss, or third-party claims arising out of or relating to use of the Platform.

9.1. Records as evidence: To the extent permitted by applicable law, Company database records, transaction logs, consent records, and system logs may be used as evidentiary records in disputes concerning service usage and billing.

9.2. Notices: Contract notices, support messages, and legal questions may be sent to support@proplylens.com unless another address is formally designated.

9.3. Updates and severability: We may update this Agreement from time to time. If any provision is held unenforceable, the remaining provisions will remain valid and enforceable to the fullest extent permitted by law.
